1. Agreement to Terms

By accessing or using FoamMatch.com (the "Site"), operated by OpenAir Solutions LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

2. Description of Service

FoamMatch.com is an online directory that connects homeowners and property owners with spray foam insulation contractors. We provide a platform for contractors to list their services and for users to find and contact contractors in their area.

Important: FoamMatch does not perform insulation work and is not a contractor. We are a directory service only. Any agreements or transactions between users and contractors are solely between those parties.

3. User Accounts

For Contractors

When you create a contractor account, you agree to:

• Provide accurate and complete business information
• Maintain and update your information as needed
• Keep your account credentials secure
• Be responsible for all activity under your account
• Hold valid licenses and insurance as required by your state/locality
• Represent your services honestly and accurately

For All Users

You agree not to:

• Use the Site for any unlawful purpose
• Impersonate any person or entity
• Submit false, misleading, or fraudulent information
• Interfere with or disrupt the Site or servers
• Attempt to gain unauthorized access to any part of the Site
• Use automated systems to access the Site without permission

4. Contractor Listings

Contractors listed on FoamMatch may include both self-registered contractors and contractors whose information has been gathered from public sources. All contractor listings are subject to our review and approval process.

We reserve the right to:

• Approve or reject any contractor listing at our discretion
• Remove or modify listings that violate these Terms
• Verify contractor information through available sources
• Display contractor reviews from third-party sources

5. Paid Services

We offer premium "Featured" listings and other paid services for contractors. By subscribing to paid services, you agree to:

• Pay the applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize recurring charges for subscription services

Subscription fees are billed monthly. You may cancel at any time, but fees already paid are non-refundable. Cancellation will take effect at the end of the current billing period.

6. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant or guarantee:

• The accuracy, completeness, or reliability of contractor information
• The quality of work performed by any contractor
• That contractors are licensed, insured, or qualified
• The availability or uninterrupted operation of the Site
• That the Site will be error-free or secure

You are solely responsible for verifying contractor credentials, licenses, insurance, and qualifications before hiring.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENAIR SOLUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

• Your use of or inability to use the Site
• Any transaction or relationship between you and any contractor
• The conduct of any contractor or third party
• Unauthorized access to your data or account
• Any errors or omissions in contractor listings

Our total liability shall not exceed the amount you have paid to us in the past twelve (12) months, or $100, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless OpenAir Solutions LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Site
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Site

9. Intellectual Property

The Site and its original content, features, and functionality are owned by OpenAir Solutions LLC and are protected by copyright, trademark, and other intellectual property laws.

Contractors retain ownership of their business information and uploaded content, but grant us a license to display and use such content in connection with our services.

10. Termination

We may terminate or suspend your account and access to the Site immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Site will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in Texas.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Site and updating the "Last updated" date.

Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
